Acceptance of Terms

By accessing or using the services offered by File North Carolina Org (“Company,” “we,” “us,” or “our”) through this website, you (“User,” “Client,” or “you”) agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use our services.

These Terms constitute a legally binding agreement between you and the Company. We reserve the right to modify these Terms at any time, and your continued use of our services constitutes acceptance of any revisions.

Description of Services

File North Carolina Org provides document preparation and filing assistance services for individuals and businesses, including but not limited to:

Business entity formation filings with the North Carolina Secretary of State
Registered agent services
Annual report and compliance filing assistance
Business dissolution and reinstatement filings
501(c)(3) nonprofit formation document preparation
Compliance monitoring and deadline reminders

We are a document preparation and filing service — NOT a law firm. We do not provide legal advice, tax advice, or professional legal representation. For legal matters, please consult a licensed attorney.

Not a Law Firm — No Attorney-Client Relationship

File North Carolina Org is not a law firm and is not authorized to practice law. Nothing on this website or provided through our services constitutes legal advice. No attorney-client relationship is formed by using our services. The information provided is for general informational purposes only.

If you require legal counsel regarding your business entity, contracts, liability, tax obligations, or any legal matter, we strongly encourage you to retain a licensed attorney in the applicable jurisdiction.

User Responsibilities

By using our services, you represent and warrant that:

You are at least 18 years of age or have the legal authority to bind a business entity
All information you provide to us is accurate, complete, and current
You have the authority to form, manage, or dissolve the business entity for which you are requesting services
You understand that government filing fees are separate from our service fees and are your responsibility
You will promptly notify us of any changes to information provided

Service Fees and Payment

Our service fees are disclosed at the time of order. Government filing fees charged by the applicable state agency are additional and are your sole responsibility. All fees are non-refundable once a filing has been submitted to the applicable government agency, unless otherwise required by law.

Payment is processed by a third-party payment processor. We do not store payment card information on our servers.

Processing Times and Government Delays

Processing times depend on the North Carolina Secretary of State’s current workload and are not guaranteed by File North Carolina Org. We are not responsible for delays caused by government agencies, incorrect information submitted by you, or circumstances beyond our control. Expedited processing options may be available for additional fees charged by the state.

Registered Agent Services

If you subscribe to our registered agent services, you agree that:

We will serve as your designated registered agent for service of process in the applicable state
We will forward received legal notices to the email and/or mailing address on file within a commercially reasonable time
You are responsible for maintaining a current and valid contact address with us
Registered agent services renew annually and must remain active to keep your entity in compliance
Termination of registered agent services may result in your entity losing good standing if a replacement is not designated

Compliance Monitoring

Our compliance monitoring service is provided as a convenience and does not constitute a guarantee that your entity will remain in good standing. You remain solely responsible for timely filing all required reports and maintaining compliance with applicable state and federal laws. We are not liable for any penalties, fees, or loss of good standing resulting from missed deadlines.

North Carolina–Specific Terms

For entities formed in North Carolina, filings are processed with the North Carolina Secretary of State’s office. We are not affiliated with or endorsed by the North Carolina Secretary of State or any North Carolina state agency. Annual report deadlines and requirements vary by entity type. You are solely responsible for meeting all state-mandated deadlines and maintaining good standing with the NC Secretary of State.

Limitation of Liability

To the fullest extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising from these Terms or our services shall not exceed the amount you paid to us for the specific service giving rise to the claim in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless File North Carolina Org, its owners, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with: (a) your use of our services; (b) your violation of these Terms; (c) information you provided that is inaccurate or unauthorized; or (d) your violation of any applicable law or regulation.

Dispute Resolution

Any dispute arising from or relating to these Terms or our services shall first be addressed through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association in North Carolina, and judgment on the award may be entered in any court of competent jurisdiction. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of North Carolina, without regard to conflict of law principles.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and the Company regarding use of our services and supersede all prior agreements and understandings.
